Introduction and Eligibility
- Please read these Terms of Service (“Terms”) carefully before using ProPharmacy a trading name of Propharma-UK Ltd (“ProPharmacy”, “we”, “us”). These Terms form a legally binding contract between you and ProPharmacy.
- ProPharmacy is a registered medicinal products broker in accordance with MHRA Chapter 10 GDP guidelines and Directive 2001/83/EC Article 85b, and is subject to all GDP obligations applicable to brokers, including recordkeeping, recall facilitation, and cooperation with competent authorities ensuring regulatory compliance and patient safety in all brokered medicinal transactions
Binding Agreement
- These Terms constitute a binding agreement between you and ProPharmacy and its affiliates and subsidiaries. “You” and “users” include healthcare practitioners and clinics (“HCP Users”) who utilise ProPharmacy to prescribe medications, and patients using ProPharmacy for payment and medication delivery (“Patient Users”). Acceptance of these Terms occurs upon registration or when you use our website, www.pro-pharmacy.co.uk.
Revisions to Terms
- ProPharmacy reserves the right to revise these Terms. Continued use of ProPharmacy following any revisions indicates your acceptance.
ProPharmacy Services
- ProPharmacy provides a platform facilitating the electronic prescription and delivery of medications by healthcare professional’s. ProPharmacy itself does not provide medical advice or prescribe medications.
Medical Advice Disclaimer
- ProPharmacy does not offer medical diagnosis or treatment. HCP Users are solely responsible for clinical decisions and patient care.
Payment and Delivery Terms
- Healthcare providers pay for medications on order or as per agreed otherwise. Medications become your property upon receipt of payment. Delivery is conducted by third-party couriers. ProPharmacy is not responsible for delivery delays caused by external factors.
Returns and Refunds
- Prescription medications are non-returnable and non-refundable once dispensed unless otherwise agreed.
Verification and Access
- ProPharmacy verifies HCP Users’ qualifications through provided identification. Users are responsible for securing their login credentials.
- Healthcare professionals using ProPharmacy services must undergo initial and periodic verification checks, including valid registration (e.g., GMC, GPhC, NMC), professional indemnity insurance, and identity validation. Failure to maintain valid professional registration or indemnity insurance may result in suspension or termination of services
Prescription Requirements
- Electronic prescriptions must comply with the British National Formulary and NICE guidelines, legally signed and dated.
- Only authorised medicines listed in the BNF/NICE or Summary of Product Characteristics (SmPC) should be prescribed
Product Recalls, Safety Notices & Falsified Medicines
- ProPharmacy will directly coordinate any MHRA product recalls and safety notifications. Healthcare professionals agree to promptly respond and follow instructions issued by ProPharmacy regarding recalls or safety alerts.
- Healthcare professionals must immediately notify ProPharmacy of any suspected falsified or counterfeit medicinal products, enabling prompt reporting to MHRA and appropriate investigation.
- Users agree to comply promptly with any MHRA-initiated or ProPharmacy-coordinated product recall. Users must maintain internal systems to action recalls for named-patient medications where appropriate.
Regulations
- ProPharmacy maintains a secure, GDP-compliant electronic audit trail of all brokered transactions, including prescription records, patient identifiers, medicine name, date of issue, quantity, and prescriber credentials.
- Healthcare professionals acknowledge that this traceability system is maintained to comply with Article 80(e) and Article 82 of Directive 2001/83/EC and MHRA GDP Chapter 10.
- All records are retained for a minimum of five years and may be accessed by ProPharmacy and competent authorities (e.g. MHRA, GPhC, GMC, NMC) during inspections, audits, or investigations.
- All medicinal products brokered via ProPharmacy must be covered by a valid marketing authorisation granted by the UK MHRA or under Regulation (EC) No. 726/2004. Users must not prescribe, distribute, or request supply of unauthorised products.
- Healthcare professionals must actively cooperate with ProPharmacy in the investigation and resolution of deviations, complaints, and Corrective and Preventive Actions (CAPA) processes, supporting full GDP compliance and patient safety.
- Healthcare professionals are responsible for safeguarding patient data confidentiality and security, strictly adhering to ProPharmacy’s Data Security Policy and applicable GDPR/ICO requirements
User Responsibilities
- Users are responsible for the accuracy, security, and confidentiality of information and account access.
- Users must ensure that data entered into the ProPharmacy platform is complete, accurate, and entered in a durable and auditable form, consistent with MHRA GDP requirements. Any loss, corruption, or falsification of records may lead to suspension of access.
- Healthcare professionals agree to uphold all relevant professional standards, including GPhC Standards for Pharmacy Professionals, GMC guidelines for prescribing, and NMC standards, ensuring all prescribing activities via ProPharmacy are clinically appropriate, legally compliant, and professionally responsible.
- Healthcare professionals agree to cooperate fully with ProPharmacy and regulatory bodies (e.g., MHRA, GPhC, GMC, NMC) during audits, inspections, or investigations concerning medicinal product prescribing and brokered transaction compliance
Clinic as Collection Point
- Deliveries are made to only registered GPhC or CQC premises or the Prescriber’s address on their insurance indemnity certificate.
- Clinics serve solely as collection points for named patients. Clinics may not hold stock medication.
- Healthcare professionals acknowledge that clinic locations must only act as collection points for named patient medicinal products. Clinics are strictly prohibited from holding stock medications
Data Protection and Confidentiality
- ProPharmacy adheres strictly to data protection regulations. Users must obtain patient consent for data use and adhere to confidentiality requirements.
Exporting Information
- Users bear sole responsibility for exported patient information.
Security Incident
- ProPharmacy will promptly inform users of any security breaches involving patient data.
Intellectual Property and User Content
- ProPharmacy retains intellectual property rights in its content. User-generated content remains the user’s property, with ProPharmacy granted rights to use this content within service provisions.
Prohibited Activities
- Unauthorized use, disruption, or exploitation of ProPharmacy content or services is prohibited and may lead to account termination.
Liability Limitations
- ProPharmacy limits liability as permitted by law and is not responsible for indirect, incidental, or consequential damages arising from the use of the platform.
Indemnification
- Users agree to indemnify ProPharmacy against claims, damages, and legal fees arising from breaches of these Terms or misuse of the platform.
General Terms
- These Terms constitute the entire agreement between users and ProPharmacy. Any disputes will be governed by English law, and users agree to the jurisdiction of English courts.
Force Majeure
- ProPharmacy is not liable for failures due to circumstances beyond its control.
Assignment
- ProPharmacy may transfer rights and obligations under these Terms. Users will be notified accordingly.
Governing Law
- These Terms are governed by the laws of England and Wales.
